These Terms of Affiliation govern the relationship between Indicom ApS, trading under the brand Syncmesh, and its Affiliates. By becoming an Affiliate, you agree to these terms. Key terms include: Affiliate (a business entity that promotes Syncmesh products), Affiliate Link (a unique link to promote Syncmesh products), Commission (percentage earned on sales via Affiliate Link), and Syncmesh Products (products sold under the Syncmesh brand).
All Affiliates must be business-to-business (B2B) entities capable of issuing invoices for their earnings. Affiliates must provide detailed information regarding traffic and exposure from their channels, as well as a description of their promotional strategy for Syncmesh products. Indicom ApS reserves the right to validate and approve each Affiliate registration.
Affiliates are required to clearly disclose their relationship with Syncmesh to their audiences. This includes informing customers that they may earn a commission on sales through their Affiliate Links, and that the final price is not affected. Affiliates are free to promote Syncmesh products using any lawful and ethical means, but must not engage in spamming, misleading marketing, or any other prohibited practices.
Commissions are calculated on the net sales made through an Affiliate's link, excluding taxes and returns. The payment schedule is negotiated on an individual basis. Commissions are not valid during site-wide sales or other special offers.
Affiliates are permitted to use Syncmesh's trademarks, logos, and other branding assets for the purpose of promoting Syncmesh products. However, the use of these assets must be validated and approved by the Syncmesh team before being deployed.
Indicom ApS reserves the right to terminate or suspend an Affiliate's participation in the program in cases of a breach of terms, inactivity, or misuse of intellectual property. Immediate suspension may be applied in cases of serious violations, while in other cases a notice period may be provided.
Indicom ApS reserves the right to modify these Terms of Affiliation at any time without prior notice. Affiliates are responsible for regularly reviewing these terms to ensure continued compliance.
Affiliates are required to maintain confidentiality regarding commission rates, internal business practices, and any other sensitive information shared by Syncmesh.
These Terms of Affiliation are governed by European Union laws, Danish laws, and the laws of the country in which the Affiliate operates.
